Terms and Conditions

1. Agreement to Terms

By accessing and using the OpenMates website ("Website"), you accept and agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Website.

2. About OpenMates

OpenMates is an open-source AI agents platform available under AGPL-3.0 license. We provide a cloud-hosted service at openmates.org, a developer API for integration, and a CLI tool. The software can also be self-hosted - see our GitHub repository and documentation for details.

3. Intellectual Property Rights

The OpenMates name and logo are trademarks of the service operator (see Imprint). The OpenMates software is available under AGPL-3.0 license - see our GitHub repository for full license terms. We do not claim copyright on any AI-generated responses. You retain ownership of your prompts and data. We never train AI models on user data.

4. Use License

You are granted permission to use OpenMates' cloud-hosted web application, developer API and CLI tool for any lawful purpose, including commercial purposes. This applies to the use of our service, not to the website content itself. The OpenMates software is available under AGPL-3.0 license - you may use, modify, and distribute it according to the license terms. See our GitHub repository for the full license.

Prohibited Uses of OpenMates Service

You may not use OpenMates for:

  • Military applications or weapons development
  • Gambling, betting, or casino operations
  • Generating or distributing misinformation, disinformation, or false content intended to deceive
  • Fraud, scams, phishing, or any illegal or deceptive practices
  • Any illegal activities or purposes prohibited by applicable law

5. AI Response Accuracy and Limitations

OpenMates uses AI models that may generate inaccurate, incomplete, or misleading information. While we strive to minimize errors, AI responses can contain factual inaccuracies, outdated information, or hallucinations. You are responsible for verifying any critical information, especially for high-stakes situations such as medical, legal, financial, or safety-critical decisions. AI-generated responses do not replace professional advice from qualified experts such as lawyers, doctors, or financial advisors.

Data Sharing with AI Partners

To process your requests, OpenMates sends your prompts and data to third-party AI service providers (as detailed in our Privacy Policy). While these providers claim they do not train models on user data, we cannot independently verify these claims. Therefore, we strongly advise against submitting highly sensitive personal, financial, medical, or confidential information to OpenMates. Please consider potential consequences before sharing sensitive data. We are committed to privacy and have designed OpenMates with privacy in mind, but we cannot guarantee how external partners process your data.

6. Credits and Payments

OpenMates uses a credit-based payment system. You purchase credit packs which are consumed when using AI services. Credits do not expire and remain in your account until used. Official-cloud anonymous free usage, when available, is a limited fair-use trial with shared daily/weekly caps and per-identity abuse limits; it is not an account credit balance and may be unavailable when the budget is exhausted. Payment processing is handled by Stripe - see our Privacy Policy for details about payment data handling.

Refund Policy: You may request a refund for unused credits within 14 days after purchase. Your right of withdrawal expires once credits are used. See our signup process for the full refund consent details.

Where personal storage billing is enabled for your account, the first 1 GiB of eligible personal encrypted object storage is free. Above that allowance, each started additional GiB costs 3 credits per week, assessed on Sundays at 03:00 UTC. We count each logical encrypted S3 object once; regional replicas do not create additional charges. Legacy uploads are not retroactively enrolled or charged under this rollout. Where Team storage billing is enabled, each Team has its own separate 1 GiB free allowance and pays the same weekly rate from its Team credit wallet. Personal and Team allowances, balances and invoices are separate; an owner's personal balance is not charged for Team-owned storage under this policy.

Where unpaid personal-storage expiry is enabled, an unpaid storage episode may lead to removal of the affected personal files only after four weekly warning emails confirmed as delivered by our email provider, at least 7 days apart. Removal cannot occur before the advertised expiry date, 28 days after the first delivered warning, or 7 days after the fourth delivered warning, whichever is latest. We check payment again immediately before removal. The affected files are fixed for that warned episode. We select complete personal file units from that set, oldest first, removing only enough to bring eligible usage within the free allowance. Team or shared files, active files, the sole remaining offline recovery copy, files whose ownership or removal safety is uncertain, and files covered by later paid storage periods are protected. If no safe set of complete eligible units can bring usage within the allowance, we remove nothing and waive nothing. Where unpaid Team-storage expiry is enabled, we notify the current Team owner and admins. Each of the four weekly warning rounds counts only after our email provider confirms delivery to every required recipient. The same minimum warning intervals and expiry dates apply. We select complete, specifically warned Team file units, oldest first, removing only enough to restore that Team's separate free allowance. Active work, sole recovery copies, required references outside the selected units, uncertain ownership or removal safety, and later-paid data remain protected. We recheck the Team wallet, current membership, notice delivery, usage and references before removal. If no safe set can restore the allowance, we remove and waive nothing. Only verified removal restoring the allowance can waive that Team's warned unpaid episode; later debt and paid periods remain unaffected.

Only after we verify the affected files have been removed and eligible usage is at or below the free allowance do we waive the unpaid storage invoices included in that warning episode. The waived amount is written off without taking credits or recording a payment. Later debt that was not included in the warnings and paid storage periods are unaffected. Logical removal creates content-free regional deletion markers and queues physical object deletion only after the last retained references have been removed; it does not promise immediate physical erasure. Backup and historical-record retention remain as described in our Privacy Policy.

7. Disclaimer

The materials and information on this Website and the OpenMates service are provided 'as is' and without warranties of any kind. We do not guarantee the accuracy, completeness, or usefulness of any information provided by OpenMates. AI-generated responses may contain errors, inaccuracies, or outdated information. Any reliance you place on such information is strictly at your own risk.

8. Limitations

To the fullest extent permitted by law, the website owner shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with:

  • The use or inability to use the OpenMates service
  • Incorrect, inaccurate, or harmful AI-generated responses or content
  • The information provided by OpenMates, including AI-generated content
  • Any technical issues, interruptions, or service unavailability
  • Loss of data due to system failures, despite our backup measures

9. Service Availability

We aim to provide reliable and fast access to OpenMates. However, we do not guarantee specific uptime percentages. Our focus is on scaling sustainably to serve all users effectively. The service may experience interruptions for maintenance, updates, or due to technical issues beyond our control.

10. Encryption Keys and Account Recovery

OpenMates uses client-side encryption to protect your stored chats, titles, app settings, memories, and other sensitive fields. Chats are encrypted in your browser with keys derived from your login credentials before being sent to our servers, and are stored only as ciphertext. Our servers can decrypt your content transiently in memory when you need it — to run AI responses, render invoices, or deliver reminders — but we never write decrypted content to disk, logs, or traces, and we do not keep copies of your login credentials. If you lose access to all your login methods (password, passkey, recovery key, security key), we have no way to recover your encryption keys, which means your encrypted data becomes permanently inaccessible. This is an intentional security property — without your keys, neither you nor we can decrypt your stored content. Please keep your login credentials and recovery keys secure and backed up.

11. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the Federal Republic of Germany. For details about the responsible jurisdiction and contact information, please refer to our Imprint.
